Terms of Service

1. Acceptance of Terms

By accessing or using Crawl N Chat ("the Service"), operated by Protemco ("we," "us," "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Crawl N Chat.

2. Service Description

Crawl N Chat is an AI chatbot platform that allows you to create chatbots trained on your website content. The Service crawls your website, processes the content using retrieval-augmented generation (RAG), and enables an AI-powered chatbot to answer questions from your visitors based solely on your content. The Service includes website crawling, content indexing, AI chatbot response generation, conversation management, lead capture, analytics, and an embeddable widget.

3. Account Registration

• You must provide accurate and complete registration information and keep it up to date.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• One account per person or entity unless otherwise authorized.
• You must notify us immediately of any unauthorized access or security breach.

4. AppSumo Lifetime Deal Terms

4.1 Lifetime Access

Purchases made through AppSumo grant you lifetime access to Crawl N Chat, defined as access for the lifetime of the product, for as long as the product remains operational and solvent. Lifetime access includes all future updates, feature enhancements, and support at no additional cost.

4.2 Tier Limits

Each AppSumo tier includes specific usage limits (number of chatbots, messages per month, pages crawled, conversation history retention). These limits are defined at the time of purchase and are guaranteed for the lifetime of the deal. Your tier benefits will never be reduced.

4.3 Future Updates & Grandfathering

All AppSumo customers receive all future product updates, feature enhancements, bug fixes, and support. If we change the deal structure, all previous purchasers keep the benefits of their original purchase plus any product improvements made after their purchase date.

4.4 No Additional Charges

We will never charge AppSumo customers additional fees for the features included in their tier. Support is included at no extra cost for the lifetime of the deal.

4.5 Acquisition

In the event of an acquisition or change of ownership, the acquiring party is obligated to honor and maintain all lifetime licenses or reimburse all AppSumo customers for their original purchase price.

4.6 Tier Upgrades

You may upgrade to a higher AppSumo tier at any time by paying the price difference. Downgrades are not available after purchase.

5. Refund Policy

5.1 AppSumo Purchases

Purchases made through AppSumo are subject to AppSumo's 60-day "We Got Your Back Guarantee." During the 60-day period from the date of purchase, you may request a full refund through AppSumo for any reason. Refunds for AppSumo purchases are handled exclusively through AppSumo. Upon refund, your access to Crawl N Chat will be revoked and all associated data will be deleted within 30 days.

5.2 Direct Purchases

For purchases made directly through our website (via Stripe), we offer a 14-day refund period from the date of purchase. Contact us at info@protemco.com to request a refund.

6. Acceptable Use

You agree not to use Crawl N Chat to:

• Crawl websites you do not own or do not have explicit permission to crawl.
• Create chatbots that provide illegal, harmful, deceptive, or misleading information.
• Impersonate other businesses, individuals, or entities through your chatbot.
• Generate spam, conduct phishing, or engage in social engineering.
• Circumvent, disable, or interfere with usage limits or security features.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to violate any applicable law or regulation.
• Overload our systems with excessive crawling or API requests beyond your plan limits.
• Resell, sublicense, or redistribute access to the Service without authorization.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy, with notice when reasonably possible.

7. Intellectual Property

7.1 Our Property

Crawl N Chat's platform, code, design, branding, documentation, and all related intellectual property are owned by Protemco. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

7.2 Your Content

You retain full ownership of your data, including the content from your website, chatbot configurations, custom Q&A overrides, conversation logs, and lead data. You grant us a limited, non-exclusive license to process your content solely to provide the Service. This license terminates when you delete your content or close your account.

7.3 Website Content Warranty

By submitting a website URL for crawling, you represent and warrant that you own the website or have obtained all necessary permissions to have its content crawled, indexed, and used for chatbot responses.

8. Payment Terms

• AppSumo purchases are processed and governed by AppSumo's terms of service and payment policies.
• Direct purchases are processed securely via Stripe. By providing payment information, you authorize us to charge the applicable fees.
• All prices are in US dollars unless otherwise stated.
• We do not charge hidden fees. Your plan price covers all features included in your tier.

9. AI-Generated Content Disclaimer

• The quality of chatbot responses depends on the quality and completeness of your source website content.
• While our strict RAG architecture minimizes hallucinations, AI may occasionally produce imprecise outputs.
• AI models may be updated or changed over time to improve performance.
• You are solely responsible for your chatbot's interactions with your end-users and for adding appropriate disclaimers to your own chatbot if required.

10. Data Ownership & Processing

• You own your data at all times. We process it only to provide the Service.
• You may request a data export at any time by contacting info@protemco.com.
• Upon account termination, your data will be deleted within 30 days. Backups are purged within 30 days after deletion.

11. Third-Party Services

Crawl N Chat relies on third-party services including Anthropic, OpenAI, Supabase, Stripe, and Resend. We are not liable for outages, changes, or discontinuations by these providers. If a third-party provider makes changes that materially affect the Service, we will make reasonable efforts to adapt and maintain functionality. You are also subject to the terms of service of these third-party providers where applicable.

12. Service Availability

We use commercially reasonable efforts to ensure Crawl N Chat is available and reliable. However, we do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of scheduled maintenance when possible.

13. Limitation of Liability

This limitation applies to, but is not limited to:

• Accuracy or inaccuracy of AI-generated chatbot responses
• Third-party content from crawled websites
• How you or your end-users use the chatbot
• Third-party service outages or changes
• Unauthorized access to your account due to your failure to secure credentials

14. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

15. Indemnification

You agree to indemnify and hold harmless Crawl N Chat and Protemco from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Content you upload, crawl, or make available through the Service
• Your use of the chatbot and interactions with your end-users
• Your violation of these Terms or any applicable law
• Your violation of any third party's rights, including intellectual property rights

16. Termination & Suspension

• We may suspend your access immediately for violations of the Acceptable Use Policy, with notice when reasonably possible.
• We may terminate your account for material breach of these Terms after providing notice and a reasonable opportunity to cure (where applicable).
• You may close your account at any time. Upon closure, you will have 30 days to export your data before deletion.
• For lifetime deal customers: termination for cause (e.g., Acceptable Use Policy violation) is distinct from product discontinuation. We will not terminate lifetime deal access without cause.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in New York, New York.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and/or a prominent notice on our website at least 30 days before changes take effect. Your continued use of Crawl N Chat after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.

19. General Provisions

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Crawl N Chat.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Force Majeure: We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
